Doing Business is a phenomenon which can be observed on a daily basis in different sectors of the nation’s economy. How Business should be practiced is what an avenge business person don’t normally pay attention to. However, Instructors who train Company Secretaries have maintained that how business should be done which is otherwise referred to as Corporate Governance positively influences our dispositions in business on a daily basis. What then is Corporate Governance? Experts in Corporate Governance have submitted principles which a Company should comply with to include safe guardians integrity in financial reporting, making timely and balanced disclosure, respecting the rights of Shareholders. Facilitate the effective exercise of these rights and recognizing legal and other obligations to all legitimate Stakeholders. Similarly, ethics refers to a code of conduct that guides an individual in dealing with others. Analysts in Management Studies say business ethics deals with issues regarding the moral and ethical rights duties and Corporate Governance between a Company and its Shareholders employees, customers, media, govt, supplies and dealers. A sector by sector analysis of the nation’s economy has revealed that principles of Corporate Governance were not primary in the running of business activities in the last five decades. This according to Observers is evident in the reforms being witnessed in Banking and other Sectors.
